Pure Capital S.A. informs that, in essence, the procedure of Voting Right foresees that the exercise of the voting rights will apply in any case each time that Pure Capital, through its managed UCITS, holds more than 3% of the capital or of the voting rights of the concerned investment instrument. Under this level, the participation of Pure Capital is not considered as influential in terms of voting rights.

Pure Capital S.A. is very cautious for 3 specific items:

  • Issuances of shares without preferential subscription right for existing shareholders;
  • Capital increase in case of take over
  • Issuances of subscription shares or any securities giving access to the capital to the profit of a specific category of shareholders (i.e. employees) leading to a dilution of others shareholders.

For defending minority shareholders, that are indirectly shareholders of UCITS, Pure Capital S.A. keeps the right to vote against any resolution that will go against its interests.

Pure Capital S.A. favours the vote by correspondence but keeps the right to go directly to a physical attempt to general assembly.

KIID

Today more than ever, Pure Capital S.A. clients are waiting for a clear information about investment products. The desire for transparency that we take care about et that the effectiveness of the fourth European directives about UCITS encourages. This directive has introduced the KIID (Key Investor Information Document), key information document pour the investor following a harmonised format in all the countries of the European Union.

The KIID has as main objective to simplify and to standardise through a clear and non-technical manner, important information stated to facilitate the choice of investment.

This document sums up all the essential characteristics of an UCITS to facilitate the decision making process.
